Fernando Torres finished well from a good plays by Ramires and Eden Hazard to opened the scoring for Chelsea, which took a 1-0 lead in the break.
But the Champions League title holders had also found themselves down a man, following the sending off of defender Branislav Ivanovic, who slid straight through fellow Serbian countryman Aleksandar Kolarov two minutes after his team had scored.
Manchester City came out firing from all angles in the second half, and Yaya Toure grabbed the equalizer in the 53rd minute with a blistering blast past Petr Cech.
Carlos Tevez then finished off a delightful solo effort and Samir Nasri volleyed home one-time to quickly give the defending Premier League champions the healthy lead.
Substitute Ryan Bertrand reacted first to a spill from goalkeeper Costel Pantilimon to take it 3-2 with ten-minutes, but City held onto their lead to lift the Shield.
Winning captain Vincent Kompany said afterwards: “I couldn’t care less what the headlines say as long as the club wins trophies. We’ll celebrate.
“It’s going to be a tough league this year because there’s a lot of quality around – as you’ve seen today.
“It will be another interesting season again and if we can improve on last season again, I’ll be very happy.”
